Sociobright SEO Service Agreement

Sociobright Limited ( the “Agency”) is a Cyprus-based company that provides Search Engine Optimization (SEO) Services (the “Services”) to international clients. The Agency is also involved in web development, app development, online marketing, and online advertising services and owns an extensive portfolio of domains and websites.

This document, the Sociobright SEO Service Agreement (the “Agreement”), serves as the legal contract between the Agency and the buyer of the Agency’s SEO Services (the “Client”).

The Agency primarily provides SEO services through its 3 main SEO Content Plans (Basic SEO, Pro SEO, or Elite SEO), as defined below:

The Basic SEO Content Plan costs €480/m and consists of 6 optimized articles, which is a fair starting point for small startups with limited budgets in low-competition niches; the Pro SEO Content Plan costs €900/m and consists of 12 optimized articles, which is the minimum recommended option for most online brands in growing niches; and the Elite SEO Content Plan costs €33600/m and consists of 48 articles, which is the ideal choice for large online brands in very competitive niches.

The core service of each SEO Content Plan is the SEO-optimized articles. The typical specifications for each article are 3000+ words, 11 target keywords, 12 FAQ answers, 6 custom images w/ relevant alt text, 5 relevant outgoing links, 2-3 data-driven tables, and optimized meta descriptions and titles. The content is hybrid AI content with human content writer editing and proofreading. All retrieved data are up-to-date with custom-trained leading LLMs (through corporate APIs used in the Agency’s custom tools), typically utilizing 50 top-ranked web sources for each article.

Plagiarism detection scores for the SEO content are typically 0%. The client may run independent tests to confirm the plagiarism scores, and in case of a plagiarism score above 2%, the Agency will implement the necessary edits to reduce the score to 0%, free of charge.

CEO Content Plan Perks

Each SEO Content Plan typically includes complimentary perks such as keyword research, keyword tracking, generative AI content via the world’s leading LLMs, content editing, WordPress publishing, custom image generation, and SEO performance reports.

Other optional complimentary perks include the installation and basic setup of leading premium WordPress plugins that help optimize the website’s SEO performance. Those plugins are WP Rocket, Imagify, RankMath, and TranslatePress. However, note that the complementary services are not binding, and with each SEO Content Plan, the Client only pays and is entitled to the SEO-optimized articles and nothing else. The Agency may reject granting any of the complementary perks to the Client if the Agency considers it against its interests or if it violates any international law.

With a monthly subscription to any SEO Content Plan (Basic SEO, Pro SEO, or Elite SEO), the following complimentary perks may be eligible, free of charge:

¹ The estimated total savings for the first month of an active SEO Content Plan are calculated based on the typical monthly pricing of the provided services if the Client were to buy them individually. In addition to specific one-time setup fees that would have been charged by 3rd party service providers, such as for the setup of the premium plugins and the creation of the customized AI content generator sheets.

² The estimated recurring monthly savings of an active SEO Content Plan are calculated based on the typical monthly pricing of the provided services if the Client were to buy them individually.

Those complimentary perks can be provided via Sociobright’s Agency accounts, thus removing the requirement for the Client to bear those costs and manage the services individually or through 3rd parties. The typical first-month Client cost savings range between €1808 – €2988+, and recurring monthly savings between €1108/m – €2288+ per month. Those perks do not include granting direct account access to the administrative Agency’s accounts or the Agency’s intellectual property.

The actual savings may vary depending on the specific Client usage, location, and needs. Those cost estimations do not include on-page and off-page SEO know-how, prompt engineering, or other proprietary services developed and used by Sociobright Ltd.

All premium plugin installations are provided optionally and complimentary to the SEO Content Plan. They include a basic initial setup but do not include any further customizations. Additional development tasks and customizations can be applied at extra charges.

Access to all premium plugins is free during an active SEO Content plan subscription period. If a subscription plan is canceled, then access to all premium plugins will be removed immediately.

In rare cases, specific WordPress themes or hosting plans may be incompatible with some of the default premium plugin services. In such cases, the Agency may allow the Client to use 3rd parties to tune or customize the plugins by providing explicit written consent, assuming that those changes comply with the plugin creators’ and legal owners’ Terms of Services.

SEO Add-ons

In addition to its core SEO Content Plan service, the Agency also provides the ‘SEO Add-ons,’ a list of additional services.

The SEO Add-ons can only be purchased with an active SEO Content Plan service. Each SEO Add-on can be bought independently after communicating with the Agency and confirming the expected deliverables for the SEO Add-on service. The Agency must be notified at least 4 weeks before purchasing any SEO Add-on services since each requires detailed technical preparation.

The Agency should start executing each SEO Add service within 4 weeks of receiving the payment after the Client settles the respective invoice. The full completion of each SEO Addon service should be within 6 weeks of initiating the service unless it’s a recurring service, which, in this case, the deliverable is within a rolling 4-week basis.

Content Samples & Case Studies

The Agency keeps its Client profiles confidential and is always open to signing NDA agreements. Any presented SEO case studies on the Agency’s website are always anonymized.

The Agency may choose to disclose a few projects that belong to its corporate portfolio, which are not bound by NDA limitations. Still, the agency will never reveal any information about its client portfolio unless the Client has explicit written consent.

We encourage our client to inspect and verify our SEO and content quality metrics with any third-party tool/service.

Pricing & Invoicing

The pricing plans for all the main SEO services (including the main SEO Add-ons) can be found in this SEO Service Agreement, as seen on this page: https://sociobright.com/sociobright-seo-service-agreement. In case of a discrepancy between other pricing pages on our website or on other websites, the pricing in the SEO Service Agreement should take precedence.

All Service prices stated on the website and in the SEO Service Agreement do not include Value Added Tax (VAT). VAT will be added to the final invoice, wherever applicable, in accordance with the relevant tax laws and regulations. The total amount payable will be the sum of the service price and the applicable VAT. If you have any questions regarding the applicability of VAT to your specific case, please consult with a tax professional or contact our customer support team for further assistance.

The Agency does not offer any discounts on its stated pricing plans. Please do not request any discounts unless your desired SEO Content Plan exceeds the capacity of the Elite SEO Plan (48 articles per month) by 50% or more.

In most cases, the standard recommendation is to use the €900/m Pro SEO Content Plan, which includes 12 SEO articles per month and a €400-€800 link-building monthly budget. The total monthly cost for those options ranges between €1300-€1700 per month, which is a very cost-effective solution compared to other Agency prices (which often charge more than €4000), and that has been proven to bring reliable growth results.

Clients may request a free SEO break-even projection report to determine their starting SEO Content Plan. We typically provide this report after the 1st invoice is paid, but upon the Client’s request, we can prepare this in advance once the Client completes their Onboarding Questions (defined later in this Agreement).

If the Client can dedicate a monthly SEO budget exceeding €4,000/m, we can offer a customized recommendation that meets the client’s needs.

All prices are denominated in EUR (€) for all European Clients. If the Client is based in a non-European country. In that case, the prices become denominated in USD ($) without changing the number values or applying currency conversions to avoid fluctuating price conversions.

For example, a European customer will have to pay for the Basic SEO Plan €480/m in EUR currency, and a US customer will have to pay $480/m in USD currency for the same plan.

We do not accept USD payments for any European-based Client or a European bank account. In such cases, the invoices should be settled in EUR.

After the Client signs the Agreement, completes the Onboarding Process (defined below in the Agreement), and specifies their chosen Service plan (the SEO Content Plan, and optionally an SEO Add-on plan), the Agency will issue them the first invoice that needs to paid within 10 working days.

When the invoice is paid, the Agency should prepare the SEO keyword plan, AI Content Sheets, and the optional Premium Plugin setup within 15 working days, assuming no delays from the Client side.

The recurring monthly invoices are typically issued 7-10 working days before the end of the current monthly SEO Content Plan subscription cycle, and the payment should be received the latest 2 days before the end of the current monthly cycle. If the payment is delayed beyond the 2-day threshold, then the SEO Services will be paused until the payment is resolved.

Repeated delays in settling the due invoice payments may result in the Agreement and the Service being terminated by the Agency.

Deliverables

The SEO Content Plan articles will be published directly on the Client’s WordPress website and should be delivered fully throughout the pre-paid subscription month. On rare occasions where the due articles were not all published during the active subscription month, they should be published on the next billing month at no additional cost to the Client.

The SEO Content Plan articles are final, meaning the Agency will not accept edit requests or other changes. The Client may edit the articles independently at any time after publication.

The Client can request a few potential formatting or content improvements for the SEO articles once per month. The Client can review the published content after the completion of every billing cycle and the publishing of all the SEO Content articles and send a concise numbered list of content improvements, ranked by the highest priority, to the Client via email.

The content improvement list may contain suggestions such as including more/fewer tables, longer/shorter paragraphs, different writing tones/styles/author personas, specific headline structures, preferred outline structure style, etc.). If those requests are accepted by the Agency (depending on their complexity, time-investment, and feasibility among other factors), they should apply to the upcoming content for the next billing month.

The Client’s content improvement suggestions are not binding and may be utilized or rejected by the Agency at its own discretion. The Agency will inform the Client of the extent to which each improvement can be applied or not. If the Agency accepts and applies any improvement suggestions, those will be applied in future iterations of the content, but not retroactively.

The Client also needs to acknowledge that AI content is not 100% unpredictable, so even if specific content improvement requests are applied, this doesn’t necessarily mean that the content will be exactly as defined in any approved content improvement suggestions.

Content improvement requests that are feasible but require fundamental changes to the structure of the AI Content Sheets may be accepted at additional charges with the Web Development SEO Add-on. The Agency will inform the Client of any such requests and provide a total hour estimate of the work hours needed to implement those changes. Each Web development task is charged at the specified hourly rate defined in this Agreement. The final web development task completion cost should not exceed more than 30% of the total hour estimate provided by the Agency.

The range of SEO add-on options will be delivered in various time frames, depending on the complexity of the task. The Client must discuss and plan each Add-on with the Agency at least one month before the desired execution time. Once the SEO Add-ons have been planned and programmed by the Agency, their execution and delivery can be continuous and predefined monthly, similar to the SEO Content Plans.

During the first week following the end of each paid subscription month, the Agency will provide the Client with several SEO reports via email and Google Drive files, all related to the applied SEO Service (SEO Content Plan and SEO Add-ons) purchased by the Client.

The reports will be accompanied by a complimentary, 30-minute ‘SEO Consultancy’ call with the Agency’s founder, George Chrysochou, that should be booked by the Client using this link: https://zcal.co/sociobright/30m

During the call, the founder will report all the SEO tasks completed during the last 30 days, analyze the organic traffic reports for all tracked keywords, and discuss the overall SEO health status of the domain and website.

For most clients, the monthly 30-minute SEO Consultancy call should be sufficient to cover the main topics regarding the Service. The Client may choose additional SEO Consultancy time by purchasing an ‘SEO Consultation’ Add-on as defined in this Agreement, at the stated hourly rate.

The provided reports may also contain estimated growth rates, trendlines, or other data projections. The Agency will try to calculate those projections to the best of its ability, relying on the quality of its primary data, many of which are acquired from the Client during the Onboarding Process. Those projections and reports are not binding contracts between the Agency and the Client and may be used only for speculative analysis by the Client.

The Agency cannot guarantee any projection or SEO outcome, as many external factors can influence those. The Agency only commits to delivering its SEO services as described in this Agreement without further promises. If the Client signs the SEO Service Agreement, they explicitly agree that the Agency is not liable to reach any projected data.

Onboarding Process

The onboarding process goes as follows:

Step 1: The Client confirms their initial SEO Content plan (and add-ons) via email
Step 2: Both parties sign the SEO Service Agreement
Step 3: The Agency sends the 1st Invoice and the Onboarding Questions to the Client
Step 4: The Client completes the Onboarding Questions and grants the Agency access to GA4, GSC, and the website
Step 5: The Client settles the 1st Invoice
Step 6: The Agency starts working on the Keywords, AI Sheets, the SEO content, and publishes it on WordPress.
Step 7: The Client provides feedback on the SEO content and lists potential improvements.
Step 8: The Agency presents the reports one month after Step 6 initiates, takes the Client’s feedback, and adjusts the content.

These are the Onboarding Questions that the Client should respond to in detail:

  1. Company invoice details: Company Name, Address, Telephone, VAT, Registration Number
  2. Main goal(s) with SEO
  3. Description of your brand, niche, product/service line, and USP
  4. Description of the 3 main personas/profiles of your website’s visitors
  5. Ideal persona, writing style, and experience of your website’s content writer
  6. List of all your website monetization sources (direct and indirect)
  7. Highest total monthly traffic (30d) ever reached in your website’s history (Retrieved from GA4)
  8. Total revenue resulting from your website monetization sources during the 30d period of the highest total monthly traffic
  9. Average net profit from each converting customer for your main product/Service line
  10. Top 3 monetization page URLs of your website (if any)
  11. Top 20 competitor website URLs
  12. Top 20-40 valuable keywords/phrases that you want to target through your website (don’t use overly generic keywords; use 2 or 3-word keywords related to your niche that makes the most business sense for your brand)
  13. YoY(or CAGR) market/niche growth, and YoY/CAGR company growth (optional but helps with the projections)

The Client should share the responses to the Onboarding Questions as a numbered list via email.

Together with the Onboarding Question responses, the Client should also grant access to the following accounts:

The Client should replace the text ‘(at)’ with ‘@’, found on the ‘Account to share access’ column and send the invitations according to the instructions.

After the Client shares the data, the Agency will start preparing the Keyword lists, AI Sheets, and Content Strategy and publish SEO articles on the Client’s website.

Termination of the Service

If the clients wish to terminate the monthly Service (in whole or in part), they should inform the Agency with a written email with a minimum of 11 working days’ notice to avoid any charges. Failure to notify the Agency of the Service termination before 11 working days will result in a late termination fee, calculated at 25% of the value of the previously charged invoice.

Changes to the Agreement and the Service

The Agency has the right to change, at any time, the terms of the Agreement and the underlying Service, including pricing or specific features. Any significant changes should be informed to the Client at least 15 working days before those changes take place and should only apply to the next billing month if the Client agrees to continue with the Service.

If the Client disagrees with the new terms, then the Client has the right to terminate the renewal of the Service after the end of the billing month without accruing a late termination fee.
